The term “sound corporate governance” is heard so often in the media and other learning environments that, to an extent, it has lost its punch.

By now, everyone knows that sound corporate governance is a must and that no business can function properly without it. But, against a backdrop of dismal failures in corporate governance in large, medium and small South African businesses, perhaps we all need to look at the components, or puzzle pieces, forming a sound corporate governance model, or structure, within an entity.
